Terms of Service

1. Scope & Parties

These Terms of Service ("Terms") govern the contractual relationship between Bespoke IT Consultants ("Zovi", "we", "us") and the clinic, medspa, or business entity ("Clinic", "you") that subscribes to the Zovi platform.

By signing up, placing an order, or using the Zovi platform, you agree to these Terms in full. These Terms apply exclusively to business customers (B2B). Consumer protection law does not apply.

2. Services Provided

Zovi provides a white-label patient engagement platform for aesthetic clinics and medspas. The platform includes a branded mobile application (iOS & Android), membership management, loyalty programme, push notification tools, AI-assisted marketing features, Klarna checkout integration, booking functionality, and a clinic dashboard.

The exact scope of services is defined in the plan selected at signup. Features vary by package. Any customisation, additional development, or bespoke configuration beyond the standard package will be agreed separately in writing before work begins.

3. Pricing & Packages

Zovi packages start from €299 per month. The published pricing is a starting price and represents the minimum entry point, it is not a fixed or final price for all clinics.

Important, Pricing Notice

The final price for your clinic is user-specific and depends on your clinic's size, number of locations, required features, customisation level, and integration requirements. Custom packages and final pricing are determined during your onboarding call. No binding contract exists until a written agreement is signed by both parties.

Zovi reserves the right to adjust published starting prices at any time. Price changes do not affect existing active contracts during the agreed contract period.

4. Payment Terms

Unless otherwise agreed in writing, invoices are issued upfront at the beginning of each billing period (monthly or annually as agreed). Payment is due within 7 calendar days of the invoice date.

If payment is not received within 7 calendar days of the invoice date, Zovi reserves the right to: (a) immediately suspend access to the platform and all services; (b) terminate the contract with immediate effect; and (c) revoke any free benefits, discounts, waived onboarding fees, or promotional credits that were granted as part of the agreement. Suspension or termination for non-payment does not relieve the Clinic of any outstanding payment obligations.

All prices are exclusive of applicable VAT. Invoices are issued in Euros (€). For clinics outside Germany, the applicable tax regulations of the respective country apply.

5. Free Benefits, Waivers & Promotions

From time to time, Zovi may offer promotional benefits including but not limited to: waived onboarding fees, free setup, discounted first months, or extended trial periods.

All such benefits are conditional on the Clinic maintaining an active, paid subscription in good standing. If the Clinic fails to make payment within the 7-day payment window, or terminates the contract before the agreed minimum period, all promotional benefits and waivers are immediately void and may be invoiced retroactively at the standard rate.

6. Clinic Responsibilities

The Clinic agrees to:

  • Provide accurate information during onboarding and keep it up to date.
  • Use the platform only for lawful purposes and in compliance with applicable healthcare and advertising regulations in their jurisdiction.
  • Obtain all necessary consents from their patients before sending marketing communications via the platform.
  • Maintain the confidentiality of login credentials and notify Zovi immediately of any unauthorised access.
  • Not resell, sublicense, or white-label the Zovi platform to third parties without prior written consent from Zovi.
  • Comply with all applicable data protection laws (GDPR / local equivalents) in their use of the platform.

7. Clinic-Patient Relationship

Zovi is a technology service provider only. The Clinic is solely responsible for the clinical care, services, and treatments provided to patients. Zovi has no role in the clinical relationship and accepts no liability for any clinical decisions, treatment outcomes, or patient interactions.

The Clinic is the data controller for all patient data processed through the platform. Zovi acts as a data processor under the terms of a Data Processing Agreement (DPA), which forms part of the service agreement.

8. Intellectual Property

Zovi retains all intellectual property rights in the platform, software, algorithms, and technology underlying the service. Nothing in these Terms transfers ownership of any Zovi intellectual property to the Clinic.

The Clinic retains ownership of all content, patient data, and clinic-specific materials uploaded to the platform. Zovi receives a limited licence to process such data solely for the purpose of delivering the service.

9. Zovi Reserved Rights

Zovi reserves the right to:

  • Modify, update, or discontinue any feature or part of the platform with reasonable notice.
  • Refuse or terminate service to any Clinic that violates these Terms, applicable law, or whose use of the platform poses legal or reputational risk.
  • Update these Terms at any time. Clinics will be notified of material changes with at least 14 days' notice. Continued use of the platform constitutes acceptance.
  • Conduct routine maintenance that may result in temporary service interruptions.
  • Adjust pricing for new contracts at any time without prior notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Zovi's total liability to the Clinic for any claim arising out of or relating to these Terms or the service shall not exceed the total fees paid by the Clinic in the 3 months preceding the claim.

Zovi shall not be liable for indirect, incidental, special, or consequential damages including loss of profits, loss of data, or loss of business opportunity, even if Zovi has been advised of the possibility of such damages.

11. Termination

Either party may terminate the agreement by providing written notice in accordance with the notice period specified in the individual service agreement. Where no notice period is specified, 30 calendar days' written notice is required.

Upon termination, the Clinic's access to the platform is revoked. Any outstanding invoices become immediately due and payable. Zovi will provide a data export within 30 days of termination upon written request.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Düsseldorf, Germany, provided the Clinic is a registered business.
