Terms & Conditions
Effective: 1 June 2025
These Terms & Conditions govern participation in the Zovi Partner Affiliate Program operated by Salford Ventures GmbH, Düsseldorf, Germany ("Zovi"). By applying to and participating in the Program, you ("Partner") agree to be bound by these terms.
1. Eligibility
- Partner must be 18 years of age or older at time of application.
- Partner must apply via the official Zovi Partner Program application. Acceptance is at Zovi's sole discretion and is not automatic.
- One partner account per individual or registered business entity. Duplicate accounts will be deactivated.
- Partners may not be employees or contractors of Zovi during the period of participation.
2. Referrals & Attribution
- A referral qualifies only when a clinic signs up via the Partner's unique referral link.
- Attribution window: 90 days from the date of first click to the clinic's completed sign-up. Referrals outside this window do not qualify.
- If a referred clinic was already in active communication with Zovi's own sales team at the time of the Partner's referral, Zovi will apply a conflict resolution process on a case-by-case basis. Conflicts are resolved on a first-touch basis: the party that first documented contact with the clinic (email, CRM record, or signed referral submission) takes priority. Zovi's determination is final.
- A Partner may not refer themselves, their own business entities, or any entity in which they hold a financial interest.
- Referrals from family members or household members of the Partner are subject to review and may be disqualified at Zovi's discretion.
3. Commission
- Commission rate: 30% of the clinic's net monthly subscription fee. "Net" means the amount received by Zovi after deducting VAT, payment processing fees, and any discounts or promotional credits applied to the clinic's account.
- Commission is paid 30 days in arrears after the clinic's monthly payment has cleared.
- If a clinic receives a refund or initiates a chargeback, the corresponding commission amount is deducted from the Partner's balance. Negative balances carry forward to the following month.
- Minimum payout threshold: €50. Amounts below this threshold roll over to the following month.
- Payments are made via SEPA bank transfer. Partners must provide valid and current payment details. Zovi is not liable for failed payments resulting from incorrect or outdated details.
- Zovi reserves the right to adjust commission rates for new referrals with 60 days' written notice. Clinics already referred and active at the time of notification are protected at the existing rate for 12 months from the date of the notice.
4. Car Lease Benefit
- The Car Lease Benefit is unlocked when the Partner maintains the required number of active, paying clinics for two consecutive calendar months.
- "Active" means the clinic's subscription is current with no outstanding payment balance.
- The Partner sources and enters into the vehicle lease agreement independently. Zovi reimburses the stated monthly amount against a valid invoice from the leasing provider. Reimbursements are not salary, employment benefit, or a guaranteed payment, they are a conditional performance bonus.
- Reimbursements may have personal tax implications for which the Partner is solely responsible. Zovi makes no warranty regarding the tax treatment of these payments.
- If the Partner's active clinic count drops below the required threshold for two consecutive calendar months, lease reimbursement is paused until the threshold is restored.
- Zovi does not guarantee any specific vehicle. The monthly reimbursement is a cap, not a commitment to any particular make, model, or cost.
- The lease agreement remains the Partner's sole legal and financial responsibility at all times. Zovi has no obligations under or in connection with the Partner's lease.
5. Clinic Conduct
- Partners may represent Zovi's published product features and pricing only. Partners may not make commitments, promises, or representations on Zovi's behalf that exceed or contradict published materials.
- Partners may not offer clinics discounts, incentives, or special arrangements without prior written approval from Zovi.
- Misrepresentation of Zovi's product, pricing, or terms to any clinic or third party is grounds for immediate termination without further commission.
- Partners must comply with all applicable laws when conducting outreach and referral activities, including GDPR and applicable data protection regulations.
6. Termination
- Either party may terminate this agreement with 30 days' written notice to the other party.
- Upon termination, the Partner continues to receive commission on already-active referred clinics for a period of six (6) months following the effective termination date. After this tail period, no further commission is due.
- Zovi may terminate this agreement immediately, without notice and without any further commission obligation, in cases of fraud, misrepresentation, breach of these terms, or conduct that brings Zovi into disrepute.
- Referred clinics remain Zovi customers upon termination. The Partner has no ownership of, right to, or ongoing relationship with any clinic introduced to Zovi.
7. Confidentiality
- Partners may not disclose Zovi's pricing structures, internal materials, commission rates, or the specific terms of the Partner Program to any third party.
- Confidentiality obligations survive termination of this agreement for a period of two years.
8. Liability
- Zovi's total liability to the Partner under this agreement is limited to commission amounts earned but not yet paid in the preceding three months.
- Zovi is not liable for indirect, consequential, or special damages arising from participation in the Program.
9. Amendments
- Zovi may update these terms at any time with 30 days' written notice. Continued participation in the Program after notice constitutes acceptance of the revised terms.
10. Governing Law
- This agreement is governed by German law.
- All disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Düsseldorf, Germany.
